0 Which Terms Apply & Order of Precedence

This Addendum applies only if you access or use the Service from outside the United States. This Addendum is incorporated by reference into the Terms of Service. Capitalized terms not defined here have the meanings given in the Terms.

Order of precedence. If there is a conflict between this Addendum and the Terms of Service, this Addendum controls only for the limited subject matter of international access considerations and does not expand Book It Rides’ obligations, liability, warranties, or role beyond what is expressly stated in the Terms. If you have executed a separate written Operator software license and services agreement (or similar) with Book It Technologies LLC via DocuSign or Adobe Sign only, that agreement controls for any conflict regarding commercial terms, licensing scope, service levels, and fees.

Nothing in this Addendum expands any warranty, guarantee, or commitment beyond what is expressly stated in the Terms. The Service is provided “AS IS” to the maximum extent permitted by law (as stated in the Terms).

1 Scope & Definitions

  • “International User” means any user, Operator, or entity accessing or using the Service from outside the United States.
  • “Operator” means an independent third-party transportation provider using the Service to display offerings, generate quotes, and accept reservation requests.
  • “End-Customer” means a rider or customer of an Operator who may interact with Operator booking pages or communications enabled by the Service.
  • “Quote” means any price, fee, fare, estimate, or amount shown or communicated through the Service by or on behalf of an Operator.

This Addendum applies only to business users and Operators acting in a commercial capacity. It does not apply to End-Customers (riders/customers of Operators) and does not create a direct contractual relationship between Book It Rides and any End-Customer. End-Customer interactions with an Operator’s booking page or communications are governed by the Operator’s terms and notices.

2 Software-Only Platform; No Transportation Services

Book It Rides is a software platform only. Book It Rides does not provide transportation services, does not own or operate vehicles, does not employ or manage drivers, and does not dispatch trips. Book It Rides does not act as a broker, carrier, dispatcher, transportation marketplace, or agent/representative of any Operator in any jurisdiction.

All transportation services are provided solely by independent Operators. Operators are solely responsible for vehicles, drivers, pricing, compliance, insurance, customer communications, customer disputes, refunds/chargebacks, and service fulfillment.

No endorsement or verification. Book It Rides does not verify, certify, license, vet, or endorse any Operator, driver, vehicle, insurance coverage, or compliance status. Use of an Operator is at your own risk.

Book It Rides is not a party to any agreement between an Operator and any End-Customer and has no responsibility for transportation services, outcomes, injuries, delays, cancellations, availability, or pricing.

3 No Local Operations; No Targeting; No Establishment

Access to the Service outside the United States does not constitute and shall not be interpreted as:

  • Doing business in any non-U.S. jurisdiction;
  • Establishing a local office, agent, place of business, or permanent establishment;
  • Offering transportation services or regulated transport marketplace services in that jurisdiction; or
  • Representing compliance with local transportation, consumer, licensing, payment, tax, or data localization laws.

The Service may be accessible internationally as a technical matter, but Book It Rides does not hold itself out as a local transportation provider anywhere and does not submit to local regulatory regimes by virtue of such access.

4 International Operator Responsibilities (Non-Delegable)

If you are an Operator or business user outside the United States, you represent, warrant, and agree that you are solely responsible for:

  • Obtaining and maintaining all required permits, licenses, registrations, approvals, and insurance;
  • Compliance with transportation, labor, insurance, safety, accessibility, consumer protection, marketing, and e-commerce laws applicable to your services;
  • Setting, maintaining, and communicating your pricing, fees, surcharges, currency, payment methods, and refund/chargeback policies;
  • All service fulfillment, customer support, complaints, disputes, and claims arising from transportation services; and
  • All notices and disclosures required to your riders or End-Customers (including required local terms, cancellation policies, and mandatory fees).

Merchant of record. Unless Book It Rides explicitly states otherwise in a separate written agreement signed via DocuSign or Adobe Sign, Operators are the merchant of record for transportation services and contract directly with End-Customers.

No duty to monitor. Book It Rides does not verify compliance, does not provide legal or regulatory advice, and has no duty to monitor or audit your compliance.

You may not make statements (in your marketing, booking pages, invoices, messages, or customer support) implying Book It Rides provides transportation, guarantees service outcomes, guarantees pricing, or acts as your agent.

5 B2B-Only Use (Global)

The Service is offered on a business-to-business (B2B) basis only. The Service is not offered to consumers, and individuals or non-business users are not permitted to purchase, access, or use the Service. Operators remain solely responsible for their relationship with End-Customers.

  • Book It Rides provides software only and is not a party to any transportation transaction;
  • Operators contract directly with riders/End-Customers and remain the merchant of record;
  • Book It Rides makes no consumer guarantees and does not provide refunds for transportation services; and
  • All consumer rights, statutory disclosures, and obligations exist solely between the Operator and the rider/End-Customer.

If any local law limits the enforceability of this B2B-only position for certain End-Customers, it applies only to the minimum extent required by that law and does not expand Book It Rides’ role beyond providing software.

6 Pricing, Currency Conversions, Taxes, VAT, GST, Tourism Taxes

Quotes are Operator-controlled. All Quotes displayed or communicated through the Service are created, set, and controlled solely by Operators. Book It Rides does not set prices and does not guarantee pricing accuracy.

Estimates vs. final. A Quote may be an estimate unless the Operator explicitly labels it as a final, guaranteed price. Operators remain solely responsible for what they quote, what they charge, and for all disclosures required by law.

Currency & conversion. If the Service displays currency conversions, they are provided for convenience only and may be based on third-party data sources. Conversions may be delayed or inaccurate and are not guaranteed. Operators are solely responsible for the currency in which they charge and for disclosing any conversion, FX, or bank/card fees that may apply.

Taxes on Book It Rides fees (SaaS subscription). Fees paid to Book It Technologies LLC for access to the Service are exclusive of all taxes. Where applicable to B2B services, taxes may be self-assessed by the customer under reverse-charge or equivalent mechanisms. You are solely responsible for determining and complying with your tax obligations (including VAT/GST) related to your purchase and use of the Service, and for providing valid, current tax identification information upon request.

Taxes and fees on transportation services. International Operators are solely responsible for determining, collecting, reporting, and remitting any taxes required by applicable law, including VAT, GST, sales taxes, tourism taxes, airport fees, tolls, local surcharges, or similar charges, and for providing any required tax invoices/receipts.

Book It Rides does not provide tax advice and does not act as the tax collector for Operator transportation services.

7 Indemnification (International)

To the maximum extent permitted by law, international Operators agree to indemnify, defend, and hold harmless Book It Rides, Book It Technologies LLC, and their owners, officers, directors, employees, and agents from and against any claims, penalties, fines, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your transportation services, drivers, vehicles, and fulfillment;
  • Your pricing, Quotes, disclosures, refunds, chargebacks, and customer disputes;
  • Your alleged or actual violations of local laws, regulations, licensing, payments, advertising/marketing, data, or tax obligations;
  • Any claim by an End-Customer or regulator relating to transportation services provided by you; or
  • Any claim that Book It Rides should be treated as a transportation provider, broker, carrier, dispatcher, agent, or merchant of record based on your conduct, representations, or business practices.

This Section is in addition to (and not in limitation of) any indemnities contained in the Terms or any separate Operator agreement executed via DocuSign or Adobe Sign.

8 Export Controls, Sanctions, and Restricted Access

Access to the Service is subject to U.S. export control laws and U.S. economic sanctions regulations. You represent and warrant that you (and, if applicable, your owners, officers, employees, and authorized users) are not located in, ordinarily resident in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions, and are not a person or entity on any U.S. restricted party list.

Book It Rides may restrict, suspend, or terminate access where required to comply with applicable law or to mitigate legal risk, including if we reasonably believe your use may violate export controls or sanctions.

9 Governing Law & Dispute Resolution

This Addendum is governed by the laws of the State of Indiana, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. Dispute resolution and any arbitration requirements are as stated in the Terms of Service.

Nothing in this Addendum creates jurisdiction, venue, establishment, or regulatory submission in any non-U.S. location. To the maximum extent permitted by law, you waive any claim that access to the Service internationally creates local jurisdiction over Book It Technologies LLC.

10 Changes to this Addendum

We may update this Addendum from time to time. Updates are effective when posted on this page (as indicated by the “Last Updated” date). Continued use of the Service after an update constitutes acceptance of the revised Addendum.

If you do not agree to the updated Addendum, you must stop using the Service.
