0 Which Terms Apply & Order of Precedence

International Use. If you access or use the Service from outside the United States, your use is also governed by the International Terms Addendum and the International Privacy Addendum, each incorporated by reference. If there is a conflict, the applicable international addendum controls solely for the limited subject matter of international access considerations and cross-border data processing, and does not expand Book It Rides’ obligations, liability, warranties, or role beyond what is expressly stated in these Terms.

Operators / Businesses. If you are a transportation operator or other business customer (“Operator”) using the Service for your business, these Terms apply to your general access and use of the Service. However, if you have executed a separate written Operator Software License & Services Agreement (or similar) with Book It Technologies LLC via DocuSign or Adobe Sign (an “Operator Agreement”), then the Operator Agreement controls for any conflict regarding commercial terms, fees, service scope, and platform licensing.

Data Processing. If there is a conflict between these Terms and an executed Data Processing Addendum (DPA) regarding data protection or processing of personal data, the executed DPA controls solely for that limited purpose.

End-Customers (Riders). If you are an end-customer or rider booking transportation through an Operator, you are contracting with the Operator (not Book It Rides) for transportation services. Your use is subject to any terms and notices provided to you by the Operator.

Book It Rides is not a party to any transportation agreement between an Operator and an end-customer, and is not responsible for disputes, refunds, chargebacks, service quality, injuries, delays, cancellations, availability, or transportation outcomes.

1 Definitions

  • “Service” means the Book It Rides online software platform and related websites, tools, and features.
  • “Operator” means an independent transportation provider using the Service to display offerings, generate quotes, and accept reservation requests.
  • “End-Customer” means a rider or customer of an Operator who may interact with Operator booking pages or communications enabled by the Service.
  • “Instant Quote” means any price output generated through the Service based on Operator-configured pricing rules and inputs.
  • “Final Guaranteed Quote” means an Instant Quote explicitly labeled in writing through the Service as final and guaranteed by the Operator.
  • “User Content” means content you submit to the Service, including business information, configuration data, and materials you upload.

2 Eligibility & Accounts

Business-Only Use (No Consumer Use).

The Service is offered exclusively to legally registered businesses acting in a commercial or professional capacity. Individuals, consumers, and non-business users are not permitted to purchase, access, or use the Service.

Business Tax / VAT Registration Required.

By creating an account or using the Service, you represent and warrant that (a) you are authorized to bind the business you represent, (b) you are not a consumer, and (c) you are VAT-registered or otherwise registered for business/indirect tax purposes where required by applicable law. You further represent and warrant that all tax identification numbers you provide (including VAT IDs) are valid, accurate, and current.

We may request verification of your business status and tax registration. If we determine (in our reasonable discretion) that your business or tax information is missing, invalid, or misleading, we may suspend or terminate your account and access to the Service immediately.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any suspected unauthorized access or security incident.

3 Platform Role — No Transportation Services

Book It Rides is a software platform only. Book It Rides does not provide transportation services, does not own or operate vehicles, does not employ or manage drivers, and does not dispatch trips.

All transportation services are provided solely by the independent transportation Operator. Operator is solely responsible for its vehicles, drivers, pricing, compliance, insurance, customer communications, customer disputes, refunds/chargebacks, and service fulfillment.

Book It Rides is not a party to any agreement between an Operator and any end-customer and has no responsibility for transportation services or outcomes.

4 No Agency or Authority

Nothing in these Terms creates any partnership, joint venture, employment, franchise, or agency relationship between Book It Rides and any Operator or end-customer.

Operators are not authorized to make representations, warranties, or commitments on behalf of Book It Rides. You may not imply that Book It Rides provides, controls, or guarantees transportation services.

5 Instant Quotes & Pricing Disclosure

Any pricing, “Instant Quote,” or estimated fare displayed through the Service is an estimate only unless explicitly labeled in writing as a “Final Guaranteed Quote.”

Estimates may change based on routing, availability, traffic, timing, wait time, added stops, special requests, vehicle changes, inaccuracies in address details, tolls, fuel surcharges, or additional service requirements.

Operators are solely responsible for the prices they set, the accuracy of their pricing rules, and any final amounts charged to end-customers.

Book It Rides does not set prices. Operators solely control pricing, fees, surcharges, and final charges. Book It Rides does not guarantee pricing accuracy, and all pricing disputes are solely between the Operator and the End-Customer.

6 Subscriptions, Billing & Taxes

Certain features of the Service require a paid subscription. If you purchase a subscription, you authorize Book It Rides (and our payment processor) to charge your payment method on a recurring basis until you cancel.

Subscriptions may renew automatically unless canceled prior to the renewal date. You may cancel through your account settings (if available) or by emailing bookittechnologies@gmail.com. Unless required by law, cancellation takes effect at the end of the current billing period.

If payment fails or becomes past due, we may suspend or terminate access and/or downgrade features until amounts are paid. You are responsible for all fees and charges incurred under your account.

All fees are exclusive of taxes. Fees are non-refundable except as required by applicable law or expressly stated otherwise in writing. We may change fees upon notice, and continued use after the effective date constitutes acceptance of the updated fees.

Taxes on Book It Rides fees (SaaS subscription). Fees paid to Book It Technologies LLC for access to the Service are exclusive of all sales, use, value-added (VAT), goods and services (GST), withholding, or similar taxes. Where applicable to B2B services, taxes may be self-assessed by the customer under reverse-charge or equivalent mechanisms. You are solely responsible for determining and complying with your tax obligations related to your purchase and use of the Service and for providing valid, current tax identification information. You agree to indemnify and hold harmless Book It Technologies LLC from any taxes, penalties, interest, or assessments arising from inaccurate, incomplete, or invalid tax information you provide.

Transportation payments. Unless Book It Rides expressly states otherwise in a separate written agreement signed via DocuSign or Adobe Sign, Book It Rides does not process payments for transportation services and is not the merchant of record for transportation charges. Transportation payments, refunds, and chargebacks are handled by the Operator.

Taxes on transportation services. Operators are solely responsible for determining, collecting, reporting, and remitting any value-added tax (VAT), sales tax, tourism tax, airport fees, tolls, or similar taxes and charges required by applicable law for transportation services they provide. Book It Rides does not collect or remit such taxes for Operator transportation services and does not provide tax advice.

7 Acceptable Use

You agree not to misuse the Service. You will not (and will not attempt to) scrape or harvest data; reverse engineer; bypass security; use unauthorized automation; interfere with or disrupt the Service; upload malware; or use the Service for unlawful, fraudulent, infringing, or abusive purposes.

We may suspend or terminate access for violations of these Terms or to protect the Service, Operators, end-customers, or third parties.

8 Confidentiality & Security

You agree to protect and not disclose non-public information regarding the Service, including platform features, documentation, pricing logic, and technical information, except as permitted by us in writing.

You must implement reasonable safeguards to protect your account credentials and any data you upload or process through the Service. You are responsible for your internal users’ access and activity.

Data processing terms (including roles and responsibilities for Operator-controlled end-customer data) may be set forth in an executed Data Processing Addendum (DPA), which controls only for that limited purpose where applicable.

9 Intellectual Property

The Service, including all software, source code, workflows, logic, interfaces, designs, documentation, trademarks, and materials, is owned exclusively by Book It Technologies LLC and is protected by intellectual property laws.

No rights are granted except the limited right to access and use the Service in accordance with these Terms and any applicable Operator Agreement.

10 User Content

You retain ownership of content you submit to the Service (“User Content”).

You grant Book It Rides a limited, non-exclusive, worldwide license to host, store, transmit, display, and use User Content solely to operate, maintain, support, and improve the Service, and to comply with law and enforce our agreements.

You represent and warrant that you have all rights and permissions necessary to provide User Content to the Service, including any end-customer information submitted by or on behalf of an Operator.

11 Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, email providers, analytics, mapping, calendars). Book It Rides is not responsible for third-party performance, availability, security, or content.

Your use of third-party services may be subject to separate terms and privacy policies provided by those third parties.

12 Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

To the maximum extent permitted by law, Book It Rides disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that data loss will not occur.

13 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Book It Rides will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.

To the maximum extent permitted by law, the total aggregate liability of Book It Rides for all claims arising out of or related to the Service will not exceed the greater of (a) the fees paid by you to Book It Rides in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations of liability; in such jurisdictions, our liability will be limited to the maximum extent permitted by law.

14 Indemnification

You agree to indemnify, defend, and hold harmless Book It Rides, Book It Technologies LLC, and their owners, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your transportation services (including drivers, vehicles, pricing, disclosures, refunds/chargebacks, disputes, and fulfillment) and any claim that Book It Rides is a transportation provider, broker, carrier, dispatcher, agent, or merchant of record based on your conduct or representations.

15 Termination

Book It Rides may suspend or terminate your access for misuse, non-payment, fraud, legal risk, invalid business/tax status, or violation of these Terms.

Upon termination, your right to use the Service will cease immediately. Sections intended to survive termination will survive.

16 Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws principles.

Informal Resolution First.

Before filing a claim, you agree to provide written notice of the dispute to Book It Rides at the contact address in Section 21 and allow thirty (30) days to attempt to resolve the dispute informally.

Arbitration.

If a dispute is not resolved informally, all disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, except as stated below. The arbitration shall take place in Indiana, unless the parties agree to a remote proceeding or a different location as permitted by AAA rules.

Small Claims Carveout. Either party may bring an individual action in small claims court if the claim qualifies and remains in small claims court.

Court venue for permitted filings. For any court action permitted under these Terms (including small claims, injunctive relief, or enforcing an arbitration award), the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Indiana, and waive any objections to personal jurisdiction or venue.

YOU AND BOOK IT RIDES WAIVE THE RIGHT TO A JURY TRIAL.

If any portion of this Section 16 is found unenforceable, the remainder will be enforced to the maximum extent permitted by law.

17 No Class Actions

Disputes must be brought on an individual basis only. No class, collective, consolidated, or representative actions are permitted.

If a court or arbitrator determines that this Section 17 is unenforceable as to a particular claim or request for relief, then that claim or request for relief (and only that claim or request) may proceed in court, and all other claims shall be arbitrated.

18 DMCA Copyright Policy

If you believe content on the Service infringes your copyright, you may submit a DMCA notice to our designated agent:

Your notice should include: (i) identification of the copyrighted work; (ii) identification of the material claimed to be infringing and sufficient information to locate it; (iii) your contact information; (iv) a statement that you have a good-faith belief the use is not authorized; and (v) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized to act on the owner’s behalf, and your physical or electronic signature.

If your content was removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notice including: (i) identification of the removed material and its prior location; (ii) your contact information; (iii) a statement under penalty of perjury that you have a good-faith belief the material was removed due to mistake or misidentification; (iv) a statement consenting to jurisdiction in Indiana; and (v) your physical or electronic signature.

Repeat infringers may have access terminated.

19 Miscellaneous

These Terms constitute the entire agreement between you and Book It Rides regarding your general access to and use of the Service, and supersede all prior or contemporaneous understandings regarding that subject matter. If you have an Operator Agreement, it controls as described in Section 0.

If any provision is held unenforceable, the remainder will remain in full force and effect. You may not assign these Terms without our prior written consent.

We may provide notices to you electronically, including by posting to the Service or by email to the address associated with your account.

20 Changes to Terms

We may update these Terms from time to time. Updates are effective when posted. Continued use of the Service after an update constitutes acceptance of the revised Terms.
